Terms of Service

1. Acceptance of Terms

By accessing or using Centilo ("the Service"), including the website at centilo.co and the Centilo progressive web application, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to modify these Terms at any time. Your continued use after changes constitutes acceptance of the modified Terms.

2. Not a Medical Device; No Clinical Recommendations

Centilo is not a medical device as defined by the U.S. Food and Drug Administration (FDA) under 21 U.S.C. § 321(h) or any other regulatory body. It has not been cleared under Section 510(k), approved under a premarket approval (PMA), or granted De Novo classification. Centilo is not a clinical decision support (CDS) system and does not meet the criteria for CDS exemption under 21st Century Cures Act § 3060(a). The calculators and tools provided are for educational and informational purposes only.

Calculator outputs do not constitute medical advice, clinical recommendations, diagnoses, or treatment plans. All outputs must be independently verified by a qualified healthcare professional against primary sources, institutional protocols, and current clinical guidelines before any application to patient care. You must not rely upon any calculator output as the sole or primary basis for any clinical decision.

3. Professional Qualification Requirement

The Service is intended exclusively for use by licensed healthcare professionals, medical trainees under appropriate supervision, and qualified clinical staff who possess the training and expertise necessary to interpret medical calculator outputs in proper clinical context.

By using the Service, you represent and warrant that you are a qualified healthcare professional or are acting under the direct supervision of one. You accept full responsibility for all clinical decisions made using outputs from Centilo.

4. Assumption of Risk and Waiver

You acknowledge and agree that the use of any medical calculator, reference data, or clinical tool carries inherent risks. These risks include, but are not limited to: errors in source reference data, errors in formula implementation, incorrect data entry, misinterpretation of results, outdated reference values, variations in clinical practice between institutions, software bugs, data transmission errors, and changes in clinical guidelines that may not yet be reflected in the Service.

YOU VOLUNTARILY AND KNOWINGLY ASSUME ALL RISKS ASSOCIATED WITH THE USE OF THE SERVICE. YOU AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ALL OUTPUTS AGAINST PRIMARY SOURCES, INSTITUTIONAL PROTOCOLS, AND CURRENT CLINICAL GUIDELINES BEFORE APPLYING ANY RESULT TO PATIENT CARE. YOU EXPRESSLY WAIVE ANY CLAIM AGAINST CENTILO, ITS CREATORS, CONTRIBUTORS, AND AFFILIATES ARISING FROM YOUR RELIANCE ON ANY CALCULATOR OUTPUT WITHOUT INDEPENDENT VERIFICATION.

This assumption of risk applies regardless of the clinical context in which the Service is used, including but not limited to emergency, critical care, and time-sensitive scenarios.

5. No Practice of Medicine

Nothing in the Service constitutes the practice of medicine, nursing, pharmacy, or any other licensed healthcare profession. Centilo does not establish a physician-patient, provider-patient, or any other clinical relationship between any party and the users of this Service. The Service does not provide diagnoses, treatment plans, or prescriptions. No output of any calculator should be interpreted as a recommendation for or against any specific clinical action.

If you are experiencing a medical emergency, call 911 (or your local emergency number) immediately. Do not rely on Centilo for emergency medical guidance.

6. Geographic Scope and Intended Audience

The Service is operated from and intended for use within the United States of America. Centilo makes no representation that the Service is appropriate or available for use in other jurisdictions. If you access the Service from outside the United States, you do so at your own risk and are solely responsible for compliance with any applicable local laws.

These Terms are governed exclusively by the laws of the United States and the State of Delaware. By using the Service, you consent to the exclusive jurisdiction of the courts of the State of Delaware and waive any objection based on inconvenient forum.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CENTILO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) calculator outputs will be accurate, complete, or current; (c) the Service will meet your specific clinical requirements; or (d) any defects will be corrected.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CENTILO, ITS CREATORS, CONTRIBUTORS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF LIFE, BODILY INJURY, LOSS OF PROFITS, DATA LOSS, BUSINESS INTERRUPTION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF CENTILO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED: (A) FOR FREE-TIER USERS, ONE HUNDRED U.S. DOLLARS ($100 USD); OR (B) FOR PREMIUM SUBSCRIBERS, THE TOTAL FEES PAID BY YOU TO CENTILO DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability shall be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Centilo, its creators, contributors, affiliates, and their respective officers, directors, employees, and agents from and against claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your misuse of the Service, including use in a manner inconsistent with these Terms or the intended educational and reference purposes;
• Unauthorized access to or use of the Service or your account;
• Your violation of these Terms of Service;
• Your violation of any applicable law, regulation, or third-party right;
• Any clinical decision made using outputs from the Service without independent verification as required by these Terms.

This indemnification obligation does not apply to the extent that a claim arises solely from Centilo's gross negligence or willful misconduct.

10. No HIPAA Compliance; No Business Associate Agreement

Centilo is not a HIPAA-covered entity and does not claim compliance with the Health Insurance Portability and Accountability Act (HIPAA) or the HITECH Act. The Service is designed with a zero-PHI architecture: all calculations run locally in your browser, and the optional patient tracker uses de-identified codes (CEN-XXXX format).

Centilo will not enter into a Business Associate Agreement (BAA) with any user or institution. If you are a HIPAA-covered entity or Business Associate, you must not use the Service to store, transmit, or process Protected Health Information (PHI). You are solely responsible for ensuring your use of the Service complies with HIPAA, institutional policies, and all applicable privacy and security regulations. Do not enter information that could directly or indirectly identify a patient.

11. Intellectual Property

The Centilo name, logo, user interface design, and software code are the intellectual property of Centilo and its creators. The underlying medical formulas and reference data used in the calculators are derived from published peer-reviewed literature and clinical guidelines, which are attributed in each calculator's reference section.

12. Account and Subscription

Certain features of the Service require creating an account and purchasing a subscription. You are responsible for maintaining the confidentiality of your account credentials. Subscription fees are non-refundable except as required by applicable law. We reserve the right to modify pricing or features with reasonable notice.

13. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service shall be resolved through binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted by a single arbitrator in the State of Delaware, United States.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS-WIDE ARBITRATION. If this class action waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

14. Statute of Limitations

Any claim or cause of action arising out of or related to use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose. Failure to bring a claim within this period constitutes a permanent waiver of such claim. This limitation applies regardless of the form of action, whether in contract, tort, or otherwise.

15. Force Majeure

Centilo shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic or epidemic, war or terrorism, government actions or orders, power failures, internet or telecommunications failures, cyberattacks, labor disputes, or disruptions to third-party services upon which the Service depends (including hosting, authentication, or payment providers).

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration under Section 13, it shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

18. Affiliate Disclosure

Centilo.co contains affiliate links to products and services. We may receive compensation when you make purchases through these links. This compensation does not influence our clinical calculator algorithms, results, or recommendations.
